The fact that a company has ceased operations but has not completed the deregistration process does not mean that its obligations have ended. Entities that have not been deregistered are still required to file annual reports and submit tax returns on time (including zero returns). If they remain in an abnormal status for an extended period, they will be included in the List of Entities with Abnormal Business Operations, which may subsequently affect the legal representative’s and shareholders’ eligibility for positions and credit standing at other market entities.
A more practical question is:The longer you wait, the harder it will be to complete the cancellation process.. The loss of accounting records, failure to cancel invoices, and the accumulation of historical tax arrears and late payment penalties can all force an entity that would otherwise be eligible for simplified deregistration to switch to general deregistration.
Simplified DeregistrationApplicable to: Market entities (excluding publicly traded joint-stock companies) that have no outstanding debts or claims, or have fully settled all such debts and claims, and that have no outstanding or have fully settled expenses related to repayment, employee wages, social insurance contributions, statutory compensation, and taxes due (including late payment penalties and fines).
The following situations are not eligible for simplified deregistration:
General DeregistrationThis applies to situations where termination is required due to statutory grounds such as dissolution, revocation of a business license, an order to close, or revocation; such cases must undergo procedures including the filing of a liquidation committee, publication of a notice to creditors, and liquidation distribution.
Simplified Deregistration:
General Deregistration:
A key policy point is:Taxpayers who meet the conditions for simplified deregistration set by market regulation authorities and have not handled any tax-related matters—or who have handled tax-related matters but have not obtained invoices (including invoices issued on their behalf), have no tax arrears (including late payment penalties) or fines, and have no other unresolved tax-related matters—are exempt from the requirement to apply separately to the tax authorities for a tax clearance certificate....you may apply directly to the market regulation authorities for a simplified deregistration.
In other words, in most regions, tax clearance information is already shared between agencies; where the registration authority and the tax authorities have already shared such information, there is no need to submit a paper tax clearance certificate.
For taxpayers who need to proactively file for tax deregistration, those who meet the following conditions may be eligibleProcessed Immediately(”Commitment-Based” Processing with Temporary Exemption from Certain Requirements): Taxpayers with an A or B tax credit rating; M-level taxpayers whose controlling parent company has an A rating; enterprises founded by talent recruited by provincial-level people’s governments or by industry leaders; individual industrial and commercial households subject to fixed-amount taxation that are not included in the tax credit evaluation system; and taxpayers whose revenue does not reach the VAT threshold. In addition, entities subject to compulsory liquidation or bankruptcy as ruled by a People’s Court may obtain a tax clearance certificate immediately upon presentation of the final ruling.
Issue 1: Invoices and tax control devices have not been canceled. Entities that have issued invoices must first cancel those invoices and deregister their tax control devices before they can obtain a tax clearance certificate. Invoices that have not been used for a long time but have not been canceled are the most common cause of delays.
Issue #2: Past-Due Taxes and Late Payment Penalties. This includes back taxes for periods of long-term zero reporting, as well as stamp taxes and surcharges that were omitted in previous periods. It is recommended that you conduct a tax health check before formally initiating the deregistration process to determine the full extent of any tax arrears.
Hurdle 3: Delinquent Social Security and Housing Provident Fund Payments. During the verification process, the tax authorities will also check for any outstanding social insurance contributions. If any arrears are found, they will raise an objection, which will prevent the simplified deregistration process from moving forward.
Simplified DeregistrationThe Letter of Commitment from All Investors is Legally Binding. If a shareholder’s representation that ”no debts have been incurred or all debts have been settled” is false, the shareholder will be jointly and severally liable for any debts incurred prior to the cancellation of registration. This means that cancellation cannot be used to evade debts; all claims and obligations must be fully settled before making such a representation.
