一、第一年:看似 “平安无事”

你的香港公司成立第一年,税务局一般会在公司成立 18 个月后发出第一份利得税报税表。你有 1-3 个月的时间完成审计和报税。

很多人收到报税表后会选择 “延期”—— 理由是 “公司还没有开始运营” 或 “没有营业收入”。如果你确实没有营业活动,向税务局提交 “不活跃” 声明是合法的。但如果你的银行账户有交易记录,却说 “没有营业”—— 这就是税务申报不实。

更麻烦的是:你的公司如果不做年审,在注册处的状态会变成 “未合规”。这种状态下,银行会认为你的公司在法律上处于 “风险状态”,关户的意愿会更强烈。

三、第三年:连锁反应全面爆发

连续三年不做审计和报税,问题会从 “罚款” 升级为 “系统性风险”。公司注册处可能发出 “除名” 通知 —— 你的公司面临被强制撤销注册的风险。银行收到公司注册处的除名通知,会立即冻结或关闭账户。如果没有合规的审计报告,未来在任何银行开新户的难度都会极大 —— 因为你有了 “不合规” 的不良记录。

而且别忘了,香港公司董事对税务申报有个人法律责任。如果税务局认定你 “故意不报税”,罚款之外,你可能被追究刑事责任。
