”The company is registered, but we haven't started doing business yet. There's no rush to register with the tax authorities, right?"
This is how many owners of newly registered companies in Shanghai really feel. Once they’ve obtained their business license, had their official seal engraved, scheduled an appointment to open a bank account, and are still in talks with clients—they tend to put off tax-related matters, thinking, ”We’ll deal with that once we start generating revenue.”
Three months later, I received a text message on my cell phone:
“Your company failed to complete tax registration within the prescribed timeframe and has been flagged as having tax irregularities. Please resolve this within X business days…”
I logged into the Electronic Tax Bureau and took a look—The fine notice has been issued, and the company's status has changed to ”Non-Compliant Account.”

PART
Let’s get one thing straight: What exactly is tax registration?
Many business owners interpret ”tax registration” as ”starting to pay taxes.”
It's not.The key purpose of tax registration is to let the tax authorities know that ”this company has been established.”
Specifically, this involves applying to the competent tax authority for tax registration confirmation, determining the types of taxes to be paid (such as value-added tax, corporate income tax, and individual income tax), completing real-name authentication, and activating access to the Electronic Tax Bureau.
The moment a company is incorporated, its tax obligations arise. Regardless of whether you are actually conducting business or generating income, you are required to ”report” your existence to the tax authorities.
The legal basis is Article 15 of the *Tax Collection and Administration Law*:
Taxpayers engaged in production or business operations must apply for tax registration with the tax authorities within 30 days of receiving their business license.

PART
Shanghai's regulation: 30 days—not a single day more
The Shanghai Tax Bureau's electronic tax portal system uses fully automated timing.
Starting from the ”Date of Establishment” listed on the business license, the system automatically counts 30 days. On the 31st day, the system automatically marks the entity as ”overdue for registration” and initiates the simplified penalty process. No manual intervention is required; the system runs automatically.
Pursuant to Article 60 of the Tax Collection and Administration Law and relevant provisions:
| Circumstances of Default | Outcome of the Case |
|---|---|
| Overdue by 30 days or less | Order the party to correct the violation within a specified time limit; a fine may be imposed Less than 2,000 yuanfine (monetary) |
| More than 30 days past due | 处 2,000 yuan or more but less than 10,000 yuanfine (monetary) |
| Serious violation (failure to complete the renewal process for more than 3 months) | Determined to be“Non-compliant account”, Suspend all tax-related operations |
Attention:If the delay exceeds 30 days, an administrative penalty will be imposed; if it exceeds 3 months and the required procedures have not been completed, the account will be classified as ”non-compliant,” which is a more serious situation.
Furthermore, the tax administration process in Shanghai is as follows: the system automatically generates penalty notices, and the outstanding payment records are displayed directly on the Electronic Tax Bureau,Even ”reissuing” comes with a fine.

The Real Consequences of Failing to Check In: It's Not Just a Matter of a Few Hundred Yuan in Fines
Fines usually range from a few hundred to a few thousand; it's no big deal.
The real problem is,These are the following three chain reactions:✅Consequence 1: Inability to file a tax return.
✅Consequence 2: Inability to claim or issue an invoice.
✅Consequence 3: The export tax rebate account is frozen.
The Most Hidden Consequences: Impact on Opening Bank Accounts and Moving to Another Region
When opening a bank account, some banks will check a company’s tax status. If the status shows ”not registered” or ”non-compliant,” the bank may refuse to open the account outright—or, even if the account is opened, online banking services may not be activated for a long time.
Even more troublesome is relocating across districts. To change a registered address across districts in Shanghai (for example, from Pudong to Minhang), you must first complete a tax settlement and obtain a ”tax clearance certificate.” If the company is still in a status of tax non-compliance, the relocation process simply cannot proceed and will remain stuck there.

Real-Life Case: A 3 Million Order Was Stalled Due to ”Tax Filing Delay”
At a trading company in Shanghai, the owner—who had previously started a business in another city—was accustomed to ”putting things off when there was no business.” In 2025, he registered a new company in Shanghai to engage in export business. After receiving the business license, he was so busy finding clients and negotiating with suppliers that he never got around to registering the company with the tax authorities.
Three months later, we received an order from a major client—3 million.
When I was getting ready to issue invoices and collect payments, I found that I couldn’t log in to the Electronic Tax Bureau. Upon checking, I discovered that the company’s status was listed as ”non-compliant,” meaning I couldn’t obtain invoices, and my export tax refund account had been frozen.
The customer was very blunt: ”If I don’t receive the tickets by next week, I’ll go elsewhere.”
The boss called 12366 to ask how to expedite the process. The response was: First, complete the registration; then submit an application to resolve the status anomaly. The tax review typically takes 5–10 business days, after which the invoice quota can be reassessed. If the situation is complex, the legal representative may also be required to attend an interview.
In the end, we expedited the process, which took a total of three weeks, but the customer couldn’t wait, so the order fell through.
It’s not that filing tax returns is particularly difficult; rather, ”filing late” takes time—and time is the one thing a business can least afford to lose.

If the deadline has already passed, how can I make it up?
If more than 30 days or even 3 months have passed, follow these steps:
Step 1: Log in to the Shanghai Electronic Tax Bureau immediately to check your current status.
1. Log in to the eTax@SH electronic tax portal to view your company’s current tax status.
2. Check for any outstanding traffic violation notices
3. Check whether there are any pending real-name verifications
Step 2: Complete the retroactive registration and pay the fine
1. Submit an application for retroactive registration through the Electronic Tax Bureau (in some cases, you must complete the process in person at a tax service center)
2. Pay the fine as prompted by the system
3. Complete the real-name registration process for the legal representative, the financial officer, and the tax filing personnel
Step 3: Apply to Have the Abnormal Status Removed
1. Submit a statement of circumstances (explaining the reason for the delay)
2. Tax officials verify the information and confirm that the retroactive filing has been completed.
3. Once the review is approved, the company returns to its ”normal” status.
Attention:If the overdue period exceeds 6 months, the processing time will be longer, and it may also affect the legal representative’s personal credit record—or even result in being placed on the tax ”blacklist,” which could impact future travel, loan applications, and the registration of new companies.

The Right Approach: A Two-Step Process to Avoid Pitfalls
For newly registered companies, the standard procedure for tax registration in Shanghai is as follows:
Step 1: Log in to the Electronic Tax Bureau (eTax@SH) within 30 days of registration and complete the ”New Business Package.”
✅ Verification of Basic Information (Company Name, Address, Scope of Business, Registered Capital)
✅ Tax Classification (Value-Added Tax, Corporate Income Tax, Individual Income Tax, etc.)
✅ Real-name verification (legal representative, chief financial officer, and tax filing officer)
✅ Deposit Account Number Report (to be obtained after opening a bank account)
✅ Filing of Financial Accounting Systems
Once you've completed this step, your tax registration is successfully ”filed.”
Step 2: File tax returns as usual for the tax types that have been determined
Value-Added Tax: Filed Monthly or Quarterly
Corporate Income Tax: Quarterly Advance Payments and Annual Settlement
Individual Income Tax: Monthly Filing (including wages, salaries, shareholder dividends, etc.)
| Tax Registration (One-Time) | Tax Filing (Ongoing) |
|---|---|
| A one-time action to be completed within 30 days of registration | Ongoing obligations that span the entire lifecycle of a company |
| The purpose is ”to let the tax authorities know you exist.” | The purpose is to ”provide ongoing reports on business operations.” |
| Failure to comply → Fine + Designated as a non-compliant account | Even if you have no income, you still have tozero declaration, otherwise an exception will be thrown as well |
“Tax registration” is a one-time process, but ”tax filing” is an ongoing process. Even if there is no business revenue, a ”zero-report” must still be filed—a requirement that will continue throughout the company’s entire lifecycle.
After registering a company in Shanghai, you must complete tax registration within 30 days. This does not mean ”starting to pay taxes,” but rather ”letting the tax authority know you exist.”
If you fail to check in, the system will automatically start the timer, lock your account, and issue a penalty notice—there are no exceptions.
The tax registration process can be completed quickly on the Electronic Tax Bureau; what really holds things up is the mindset of ”I’ll get to it when I have time.”However, if you wait longer than 30 days, the time required to reissue it may be five times as long as it would have been originally.
