01 哪些变更必须去备案

以上任何一种，都必须在公司注册处完成登记备案。

02 变更流程：5步走完

Step 1：召开股东会，通过变更决议（董事变更需要董事会决议）
    ↓
Step 2：签署相关法律文件（股份转让书/辞任书/委任书等）
    ↓
Step 3：填写政府表格（NR1/ND2A等）
    ↓
Step 4：提交公司注册处（可网上提交）
    ↓
Step 5：政府处理+更新公司注册信息（5-7个工作日）

03 所需资料清单

变更董事（新增/辞任）：

• 新董事护照（有效期6个月以上）
• 新董事住址证明（3个月内）
• 董事会决议书（委任新董事/接受辞任）
• ND2A表格（董事变更通知）

股权转让/股东变更：

• 转让方和受让方的护照及住址证明
• 股份转让协议（注明转让价格和条件）
• 股份转让书（Stock Transfer Form）
• 股东会决议书（批准转让）
• 更新后的股东名册

04 不备案会怎样？3种常见后果

后果1：法律纠纷时权益不被认可

股权变更不备案，在法律层面股份还是原来股东的。

一旦发生纠纷，就算有私下协议，没有经过公司注册处正式登记，法院和税务局认的都是登记在册的信息。

后果2：银行KYC核查失败

银行在KYC审查时，会比对公司注册处的登记信息和你提交的资料。

如果实际控制人/董事已经换了，但公司注册处信息还没更新，银行会要求你先去完成变更备案，才能继续KYC流程。

这意味着账户被暂停，直到你完成变更。

后果3：电商平台账号暂停

亚马逊、TikTok Shop等平台会定期核查卖家主体信息。如果平台账号绑定的公司董事信息与注册处不一致，可能触发身份核查请求，严重情况导致账号暂停。

05 变更完成后还要通知这2个地方
