You own a Hong Kong company with a virtual address provided by a secretarial service as its registered address. You have no local employees in Hong Kong, and you direct all business decisions from Shenzhen via WeChat. When the bank asks, “What is your company’s actual business operation like?” how would you respond?

This is not an issue that can be avoided. Under the CRS 2.0 framework, “economic substance” is a mandatory requirement for both tax authorities and banks.

The good news is: you don’t actually have to rent an office in Hong Kong or hire ten people—there are different levels of substantive business operations, so today I’ll clearly explain the setup costs and requirements for each level.

I. Economic Substance Test—Comprehensive Assessment Across Three Dimensions

Dimension 1: Physical Existence

• Do you have office space? The tax authorities don’t require you to rent an entire floor in Central, but you must have at least one separate office space that is actually in use.

• Virtual addresses do not count, nor do registered addresses provided by secretarial service companies.

• A registered office address service can be a solution (HK$500–1,500 per month on average)

Dimension 2: Staffing

• Has anyone actually worked for this company? I’m not talking about an outsourcing service where a secretarial firm handles mail on their behalf.

• Employees who actually work for your company, receive a salary, and contribute to Hong Kong’s Mandatory Provident Fund (MPF)

• Minimum staffing: 1 part-time employee, with an average annual salary of 50,000–100,000 HKD

Dimension 3: Location of Decision-Making

• Where are the company’s strategic and operational decisions made?

• Must be able to demonstrate that major decisions were made in Hong Kong (minutes of the Major Decisions Committee, documents signed in Hong Kong)

• Hold at least one board meeting in Hong Kong each year, and maintain complete minutes and an attendance sign-in sheet

Recommended order:First, obtain CoR certification (to quickly stem the flow of data), while simultaneously building a chain of evidence demonstrating substantive business operations (to solidify long-term compliance). Pursuing both approaches simultaneously is the correct compliance strategy.
