Beneficial Owner Filing 2026: Failure to File Could Result in a Fine of Up to 50,000—Can Your Company Really ”Promise Exemption from Filing”?
Published: September 10, 2026

What is a beneficial owner, and why must it be reported?

Beneficial Owner, simply put, this refers to ”the natural person who ultimately exercises actual control over the company and reaps its benefits.” This is not the same as the legal representative, nor is it the shareholder with the largest stake; rather, it is the natural person who exercises actual control over the company or derives the majority of its benefits through equity holdings, agreements, personnel decisions, or capital contributions.

Pursuant to the “Measures for the Administration of Beneficial Owner Information” (Decree No. 3 [2024] of the People’s Bank of China and the State Administration for Market Regulation, effective as ofNovember 1, 2024(Effective), as ofJanuary 1, 2026, The 2026 Annual Report Filing Period for Business Entities Has Begun,Corporations, partnerships, and branches of foreign companies must simultaneously file beneficial owner information.The

The purpose of this system is to look beyond complex equity and contractual structures to identify the actual controllers. For companies, this is no longer merely a formality that can be fulfilled simply by filing a report—Incorrect entries, omissions, or failure to report required information may result in an order to correct the error and a penalty.

Can a ”commitment to exemption from filing” be made? Four conditions must be met simultaneously.

Article 6 of the “Measures for the Administration of Beneficial Owner Information” specifies the circumstances under which a waiver of reporting requirements may be granted. However, it is important to note that:All four of the following conditions must be met simultaneously, all of which are essential:

  1. Registered capital (contributed capital) does not exceed 10 million RMB.;
  2. All shareholders and partners are individuals..;
  3. No natural person other than a shareholder or partner exercises actual control over the entity or derives income from it..;
  4. There are no circumstances in which control or influence over the entity is exercised through means other than equity ownership.The

Many companies fail to meet the requirements outlined in points 3 and 4. For example: A company with a registered capital of 5 million yuan, whose shareholders are all natural persons, would not qualify for the filing exemption if it is actually controlled by a certain ”advisor” through a concerted action agreement or a nominee arrangement. Similarly, even if the shareholders are natural persons, the exemption does not apply if the company’s profits are diverted to a third party through other arrangements.

Criteria for Determination: Don’t check the box for the reporting exemption just because the registered capital is less than 10 million yuan; first, perform a look-through analysis of control and beneficial ownership.

Deadlines vary by location, so don't just copy someone else's dates.

Deadline for Filing by Existing Business EntitiesTo be arranged by each region; there will be no uniform approach across regions in 2026.. According to publicly available information:

  • Hunan:May 31, 2026Completed earlier;
  • Xuchang:April 30, 2026Completed earlier;
  • Xinjiang Production and Construction Corps:December 31, 2026Completed earlier;
  • Pingliang: SinceStarting in June 2026Conduct joint law enforcement inspections.

In other words.You can't use deadlines from other cities to determine your own timeline.—The notice issued by the market regulation authority or the People's Bank of China branch in the business entity's location shall prevail. If the entity refuses to rectify the violation, it may be subject toA fine of less than 50,000 yuanThe

What information needs to be provided for filing, and how do you determine ”who” is the beneficial owner?

The core of the filing information is the identity information and method of control of the beneficial owner, which typically includes the name, type and number of identification documents, nationality, address, date of becoming a beneficial owner, and method of control (specific fields are subject to the registration system).

We recommend following this logic for the identification sequence:

  1. Equity Pathways: Natural persons who directly or indirectly hold 25% or more in equity or partnership interests;
  2. Revenue Streams: Natural persons who, although they do not hold the required equity stake, are entitled to profit-sharing rights and voting rights for 25% or higher;
  3. Control Path: A natural person who exercises actual control over the company through agreements, personnel appointments and removals, financial management, and other means;
  4. Safety Net: If none of the above apply, the individuals responsible for day-to-day operations and management (such as directors and senior executives) are generally deemed to be the beneficial owners.

Piercing the corporate veil must always be applied to natural persons.—If the shareholder is a company, you must continue tracing upward until you find a natural person or until the conditions for exemption from reporting are met.

3 Common Mistakes in Practical Application

  • Treating the Legal Representative as the Beneficial Owner: The two are often inconsistent, especially in the case of subsidiaries of a group or companies with nominee holding arrangements;
  • The change in the equity structure has not been updated in the filing records.: Following a shareholder transfer, capital increase, or the termination of a nominee arrangement, if there is a change in the beneficial owner, the information should be updated promptly rather than waiting until the next annual report;
  • Branches of foreign companies believe that ”entities outside China are not required to file reports.”: According to regulations, branches of foreign companies are also subject to filing requirements.

30-Day Compliance Action List

  1. Retrieve the latest business registration records and shareholder registers, and create a shareholding structure diagram that traces ownership all the way back to the individual shareholders;
  2. Compare each item against the four conditions for exemption from reporting and prepare a written record of the assessment—If you meet the requirements, you’ll be exempt from reporting; if you’re unsure, report the information accurately..;
  3. Review ”non-equity” control arrangements, such as nominee holding agreements, agreements to act in concert, and proxy agreements;
  4. Check the filing deadline issued by the local market regulation authority and set up an internal reminder;
  5. Include information on beneficial owners in the annual compliance ledger and update it promptly following any changes in ownership.
