The answer becomes more nuanced in 2026: If profits are not generated locally in Hong Kong, you may indeed be exempt from profits tax—but only if you apply for an “offshore exemption” and obtain written consent from the Hong Kong Inland Revenue Department. Otherwise, even if the profits appear to come entirely from overseas, you must first complete the audit and tax filing process.

Complicating matters further, two new variables have emerged in Hong Kong’s tax system in 2026: the implementation of the Foreign-Source Income Exemption (FSIE) mechanism and the requirement for multinational enterprise groups to comply with the 15% global minimum tax rule. These two factors are reshaping the application logic and chain-of-evidence requirements for offshore exemptions for Hong Kong companies. For business owners who use Hong Kong companies as vehicles for cross-border trade, overseas investment, and the consolidation of offshore profits, the offshore exemption is no longer an “automatic tax exemption,” but rather a compliance application that requires careful preparation of a chain of evidence.

Qicaiying Group specializes in providing domestic and international company registration services in Shenzhen, Guangzhou, Shanghai, Beijing, Hangzhou, Hong Kong, the United States, Japan, South Korea, Southeast Asia, Singapore, the British Virgin Islands (BVI), the Cayman Islands, and other locations, as well as annual review and audit, bookkeeping and tax filing, tax compliance, information updates, bank account opening, ODI filing, FDI filing, and other corporate services; Hong Kong residency application, renewal, and permanent residency services; Singapore EP application services; and cross-border e-commerce support and agency services. Core Requirements for Offshore Exemptions: Four Factors for Determining the Source of Profits

Hong Kong adopts the territorial source principle for taxation, levying profits tax only on profits derived from within Hong Kong. If a company’s profits are derived entirely from outside Hong Kong, it may apply for an offshore exemption to be exempt from profits tax. However, whether “profits are derived from outside Hong Kong” is not determined solely by the company itself; rather, the company must provide the Inland Revenue Department with a complete chain of evidence proving that the entire course of business took place outside Hong Kong.

According to the Hong Kong Inland Revenue Department’s “Interpretation and Implementation Guidelines on the Territorial Source Taxation Principle” (DIPN 21, revised in December 2023, still applicable in 2026), the core criteria for the offshore exemption review consist of four elements:

First, the place where the contract was signed. Purchasing and sales contracts must be signed outside of Hong Kong. The IP addresses used in email correspondence, the location where the contracts are signed, and the fax or mailing addresses for the contracts must all be outside of Hong Kong. If contracts are signed electronically, records of the signatures and IP logs must be retained.

Second, the place of delivery of the goods. Goods must be shipped directly from overseas suppliers to overseas customers; customs clearance through the Port of Hong Kong or storage in Hong Kong is strictly prohibited. If goods must be transshipped through Hong Kong, a reasonable commercial justification must be provided, and the transshipment must not alter the substance of the transaction.

Third, the destination of the funds. Payment for goods should be made directly by overseas customers to overseas suppliers or offshore accounts to avoid routing funds through Hong Kong bank accounts. If funds must pass through a Hong Kong account, a reasonable business justification must be provided, along with proof that the funds were not generated as profit in Hong Kong.

Fourth, the location where business decisions are made. Business negotiations, pricing discussions, and decision-making meetings should be conducted outside of Hong Kong. Minutes of board meetings, business correspondence, quotations, and order approval records should be stored outside of Hong Kong, and relevant evidence should be retained.

An application for an offshore exemption has a high probability of success only when all four requirements are met simultaneously. If any one of these requirements is not met, the tax authority may issue an “offshore issue letter” requesting additional clarification or may even reject the application outright.

II. FSIE Mechanism: Income Earned Overseas Deposited into Hong Kong Accounts Is No Longer “Automatically Tax-Exempt”

In 2026, Hong Kong implemented the Foreign-Source Income Exemption (FSIE) mechanism. This mechanism imposes economic substance requirements on “foreign-source income received in Hong Kong,” thereby altering the traditional rule of automatic application of offshore exemptions.

The key implication of the FSIE is that if you are a member of a multinational enterprise (MNE) with a physical presence in Hong Kong, certain foreign-source income (such as dividends, interest, and gains on dispositions)—even if derived from outside Hong Kong—may be treated as taxable income if it is received in Hong Kong and does not meet the economic substance requirements or the shareholding exemption criteria.

However, for purely local companies or ordinary Hong Kong companies not involved in a multinational enterprise group structure, as long as the profits are indeed derived from outside Hong Kong, the traditional territorial source taxation principle still applies, and they may apply for an offshore exemption. However, if the parent group is classified as a multinational enterprise group on a global basis and the Hong Kong entity’s effective tax rate is less than 15%, it may be required to pay additional tax up to 15%—that is, the “global minimum top-up tax.”

This means that companies must first determine whether they are part of a multinational enterprise group. If so, the rules governing the overlap between the offshore exemption, FSIE, and the global minimum top-up tax must be assessed jointly by professional tax advisors and accountants; if not, they may apply through the traditional offshore exemption process, but must still provide a complete chain of evidence.

For Hong Kong company offshore exemption, Qicaiying offers a one-stop service package that includes “Hong Kong Company Registration + Compliance Accounting + Audit + Offshore Exemption Application”: Hong Kong company registration, company secretary services, annual filing, and tax filing; preparation of compliance financial statements, bank statement reconciliation, and archiving of purchase/sales vouchers; audit reports by licensed Hong Kong accountants; preparation of the offshore exemption application statement, responses to Inquiries from the Inland Revenue Department, and preparation of supplementary materials. The Global Minimum Tax of 15%: A New Compliance Factor for Multinational Enterprise Groups

In 2026, Hong Kong will implement the Global Minimum Tax (GloBE Rules). These rules stem from the OECD’s “Two-Pillar” approach, and their core objective is to ensure that multinational enterprise groups pay an effective tax rate of at least 15% in each jurisdiction where they operate.

Intended Audience. This generally applies to multinational corporate groups with global consolidated revenue reaching the 750 million euro threshold. If the corporate group to which a company belongs meets this threshold, the Hong Kong entity must be included in the calculation of the global minimum top-up tax.

Core Impact. If a Hong Kong entity has an effective tax rate below 15% due to offshore exemptions, tax incentives, or other reasons, it may be required to pay additional taxes to reach the 15% threshold. Calculating and reporting these additional taxes is highly complex and involves several technical aspects, including determining the effective tax rate, assessing the scope of coverage, carrying forward losses, and adjusting for tax incentives.

Relationship with Offshore Exemptions. The global minimum top-up tax does not directly eliminate the offshore exemption, but it will affect the tax arrangements of members of multinational enterprise groups. If a Hong Kong entity’s effective tax rate is too low after applying for the offshore exemption, it may trigger a top-up tax liability. Therefore, multinational enterprise groups must first conduct a global tax structure assessment before applying for the offshore exemption to avoid “saving on profits tax only to end up paying top-up tax.”

IV. The “Five-Step Process” for Applying for Offshore Exemptions and Common Misconceptions

When applying for an offshore exemption, Hong Kong companies cannot simply file a “zero-return” or “check the box for offshore activities”; they must follow a five-step process in accordance with regulations.

Step 1: Bookkeeping and Auditing. Hire a Hong Kong-licensed accountant to organize the books and issue an audit report. Even if the company believes its revenue is entirely from offshore sources, it must first complete the audit and filing; it cannot simply file a zero return.

Step 2: Submit an application for an offshore exemption. When completing the income tax return form (BIR51), check the “Offshore Activities” box and attach a statement requesting an offshore exemption that details the business model, the location where contracts are signed, the route of goods transportation, the flow of funds, and the location where business decisions are made.

Step 3: Inquiry by the Tax Authority. The tax authority typically issues an “offshore issue letter” within 3 to 6 months of submission, requesting additional supporting documentation such as contracts, bills of lading, bank statements, and correspondence.

Step 4: Provide supporting evidence. In cooperation with the accountant, provide procurement contracts, sales contracts, bills of lading/waybills, bank statements, invoices, email correspondence, minutes of board meetings, and other documents to prove that the profits were indeed generated outside of Hong Kong.

Step 5: Approval and Follow-up Oversight. Once the tax authority issues an “Offshore Approval Letter,” the corresponding profits are officially exempt from taxation, with the exemption typically valid for 3 to 5 years. During this period, the tax authority will conduct random audits; if changes to the business model result in non-compliance with the offshore criteria, the exemption will be revoked and the company will be required to pay back taxes.

Common Misconceptions:

Misconception 1: As long as a company does not operate out of Hong Kong, it can apply for an offshore exemption. Incorrect. If the contract is signed in Hong Kong, the goods are transshipped through Hong Kong, or the customer or supplier is located in Hong Kong, the transaction may not meet the criteria for an FOB term.

Misconception #2: If profits aren’t generated in Hong Kong, you don’t have to file a tax return. Incorrect. Before applying for an offshore tax exemption, regardless of the source of the profits, you must first complete an audit and file a tax return; tax exemption is granted only after approval by the tax authorities.

Misconception 3: No audit report is required for a zero-reporting filing. Incorrect. According to Chapter 622 of the Hong Kong Companies Ordinance, all Hong Kong companies are required to engage a licensed accountant to issue an audit report annually; only dormant companies may submit an inactivity audit report. Filing a return without an audit report constitutes a violation.

V. Three Red Lines for Hong Kong Corporate Tax Compliance in 2026

Red Line 1: File a zero-return without keeping books or undergoing an audit. The Hong Kong Inland Revenue Department has repeatedly emphasized in 2026 that, with the exception of dormant companies that genuinely have no operations, no bank accounts, and no assets, all other companies must undergo an annual audit. If a self-filed zero-return is found to be inaccurate upon audit, the company may face a fine of up to 100,000 Hong Kong dollars and a penalty equal to three times the tax due, and directors may also face criminal liability.

Red Line 2: Confusing “offshore exemption” with “dormant companies.” Companies that are actively operating, have bank statements, and generate revenue cannot file a zero-reporting return as an inactive company; they must file their taxes through an audit and apply for an offshore exemption.

Red Line 3: Failure to comply with bank anti-money laundering reporting requirements. In December 2025, the Hong Kong Monetary Authority issued new anti-money laundering regulations. Starting in 2026, all licensed banks in Hong Kong are required to submit annual account transaction records for account holders to the Hong Kong Inland Revenue Department. Banks have the right to freeze the accounts of companies that fail to complete their accounting audits as required until they submit an audit report that meets the requirements.

Offshore exemption is not an “automatic benefit,” but rather a “compliance application.” Qicaiying Group specializes in providing domestic and international company registration services in Shenzhen, Guangzhou, Shanghai, Beijing, Hangzhou, Hong Kong, the United States, Japan, South Korea, Southeast Asia, Singapore, the British Virgin Islands (BVI), the Cayman Islands, and other locations, as well as annual review and audit, bookkeeping and tax filing, tax compliance, information updates, bank account opening, ODI filing, FDI filing, and other business services; Hong Kong residency application, renewal, and permanent residency services; Singapore EP application services; and cross-border e-commerce guidance and agency management—all as part of our one-stop service.
