01 Why Can't We \u201cTransfer Directly\u201d?\u201d<\/h2>\n\n\n\n
Many people think: \u201cHong Kong is my own company\u2014what\u2019s wrong with transferring money back to my own account?\u201d<\/p>\n\n\n\n
The problem lies on two levels:<\/p>\n\n\n\n
Level 1: Foreign Exchange Regulation<\/strong> The mainland imposes clear restrictions on individual foreign exchange transactions (an annual foreign exchange conversion quota of the equivalent of $50,000 per person). Large sums transferred from overseas into personal accounts will trigger a bank\u2019s report of large and suspicious transactions, and the State Administration of Foreign Exchange may require an explanation of the funds\u2019 source.<\/p>\n\n\n\n
Level 2: Taxation<\/strong> A Hong Kong company is an overseas legal entity and is considered a separate taxpayer from you as an individual. If you receive funds from the company as \u201cpersonal payments,\u201d this may be deemed either a hidden dividend (requiring the payment of back personal income tax) or unreported overseas income.<\/p>\n\n\n\n\n\n\n\n
02 Three Paths to Compliance<\/h2>\n\n\n\n
Path 1: Dividend Payouts<\/h3>\n\n\n\n
Applicable Scenarios:<\/strong> Shareholders of Hong Kong companies (who are also mainland residents) need to transfer the company\u2019s profits to their personal accounts.<\/p>\n\n\n\n
Process:<\/strong><\/p>\n\n\n\n\n
Convene a board meeting to approve a dividend resolution<\/li>\n\n\n\n
Prepare the company's audit report (dividends must be based on audited financial statements)<\/li>\n\n\n\n
Hong Kong Banks Process Dividend Remittances<\/li>\n\n\n\n
When remitting funds to mainland China, file a report with the competent tax authority and complete the withholding procedure.<\/li>\n<\/ol>\n\n\n\n
Tax Costs:<\/strong><\/p>\n\n\n\n

At the Hong Kong level: Since profits tax has already been paid, dividends are not subject to additional taxation.<\/li>\n\n\n\n
Mainland China: Cross-border dividends are protected under the China-Hong Kong tax treaty, with applicable tax rates of 5% (for eligible cases) or 10% (for general cases).<\/li>\n<\/ul>\n\n\n\n\n\n\n\n
Path 2: Service Fee<\/h3>\n\n\n\n
Applicable Scenarios:<\/strong> A Hong Kong company transfers funds to an affiliated company in mainland China (such as your mainland trading company) in the form of \u201cservice fees.\u201d<\/p>\n\n\n\n

Hong Kong companies pay service fees in accordance with the agreement<\/li>\n\n\n\n
Mainland Companies Issuing Invoices and Reporting Revenue<\/li>\n<\/ol>\n\n\n\n
Caveats:<\/strong><\/p>\n\n\n\n

Service fee pricing must be in line with fair market value (compliance requirements for transfer pricing in related-party transactions).<\/li>\n\n\n\n
After receiving service fees, mainland companies pay taxes in accordance with standard corporate income tax rules.<\/li>\n\n\n\n

Applicable Scenarios:<\/strong> Mainland companies use intellectual property\u2014such as trademarks, patents, and software\u2014held by Hong Kong companies and pay royalties to those Hong Kong companies.<\/p>\n\n\n\n

04 Foreign Exchange Compliance Requirements: Don\u2019t Skip This Step<\/h2>\n\n\n\n
Regardless of the route taken, cross-border fund transfers exceeding a certain amount must undergo foreign exchange compliance registration:<\/p>\n\n\n\n

ODI Filing (Outbound Direct Investment Filing)<\/strong>: Mainland companies that have subsidiaries or equity-held companies in Hong Kong are required to file a report with the State Administration of Foreign Exchange.<\/li>\n\n\n\n
Foreign Exchange Declaration for Trade in Services<\/strong>: When remitting service fees or royalty payments, the bank will require a contract and tax documentation.<\/li>\n<\/ul>\n\n\n\n
